This agreement governs how your scan, likeness, and data are used when you participate in a BlueVishnu scan. Effective upon clicking “Accept and Continue.”

1. Our Commitment to You

We take your likeness and privacy seriously.

We do not sell, license, or publicly release your scan, avatar, or likeness for commercial purposes without your explicit permission.

Your participation is voluntary, and you maintain control over any external use of your identifiable likeness.

By clicking “Accept and Continue,” you agree to the Terms below.

2. What We Do

You authorize BlueVishnu, Inc. (“BlueVishnu”) to capture video, photo, depth, and motion data of you (“Scan Data”) to create 3D models and related digital assets (“Works”).

You grant BlueVishnu a perpetual, worldwide, royalty-free, irrevocable license for:

• Processing your Scan Data to create Works

• Internal research, development, testing, and system improvement

• Creating anonymized or aggregated data for product development

• Maintaining secure archival copies for system integrity and traceability

• Internal operational needs, including quality assurance, calibration, security, fraud prevention, and work performed by trusted processors, vendors, and contractors under confidentiality agreements

These permissions cover internal, non-public uses only.

This irrevocability applies only to internal and archival uses and does not affect your ability to withdraw permission for future External Uses.

3. External Use & Promotional Materials

We occasionally share examples of our work to demonstrate how BlueVishnu’s technology performs. This may include images or clips created from scan sessions or footage captured at events. When we use scan-derived imagery in promotional materials, we generally make reasonable efforts to contact participants and let them know, although this is not always practical and is not a requirement. These materials are used only for BlueVishnu’s own promotion—never to place you in a client project or commercial production without your separate written permission.

We also capture behind-the-scenes footage at events, similar to standard practices for studio, conference, and production environments. We do not request individual permission for incidental or background appearances in such footage. Any commercial or third-party use of your identifiable likeness always requires your explicit written consent.

Any use of your identifiable likeness in commercial or third-party contexts—including film, games, advertising, NFTs, or client projects—requires your separate written consent (“External Use”).

Company Promotional Use

BlueVishnu may use images, videos, or rendered outputs derived from your Scan Data in its own promotional materials, including websites, demo reels, social media, presentations, trade shows, and case studies. BlueVishnu often makes reasonable efforts to contact participants before using prominently featured scan-based imagery; however, such outreach may not always be possible and is not required. This permission is limited solely to BlueVishnu’s self-promotion and does not authorize any third-party commercial use of your likeness. Promotional materials may be widely distributed, archived, or cached by third parties, and BlueVishnu is not required to modify or remove materials once created or released.

Event Documentation

By participating in a scanning event, you acknowledge that BlueVishnu and authorized parties may capture behind-the-scenes footage, event documentation, and background or crowd shots. These recordings follow standard industry practices for event and location filming and do not require individual consent or compensation for incidental or background appearances. While BlueVishnu may seek permission when practical for individually highlighted appearances, no outreach is made for general event documentation.

These promotional and documentation rights are perpetual, irrevocable, and worldwide, and apply only to BlueVishnu promotional use and event documentation. They do not authorize third-party commercial use of your likeness.

No compensation is owed for declined External Use opportunities. Each External Use authorization will specify its own terms and any applicable compensation.

4. Intellectual Property

• BlueVishnu owns all Works, derivative works, our processing pipeline, and proprietary technology.

• You retain rights to your underlying personal likeness and identity.

• If you request NFT minting, it will occur directly to your wallet, and you assume all associated risks.

5. Your Rights

You may:

• Decline any proposed External Use

• Withdraw consent for future External Uses through written notice to privacy@bluevishnu.com

• Request information about active External Uses of your likeness

Note: Previously authorized External Uses, internal uses, and archival data are not affected by withdrawal. No refunds or compensation are provided for withdrawal.

6. Your Acknowledgments & Release

By accepting these Terms, you represent and warrant that:

• You are at least 18 years old, or, if under 18, a parent or legal guardian has reviewed and accepted these Terms on your behalf to the extent permitted by applicable law

• You have the legal right to grant this consent

• Your participation does not violate any third-party rights or agreements

To the fullest extent permitted by law, you release and forever discharge BlueVishnu and its affiliates, licensees, contractors, successors, and assigns from any and all claims arising out of or relating to the capture, processing, storage, handling, or internal use of the Scan Data or Works as permitted under these Terms, including claims for invasion of privacy, defamation, or publicity rights.

7. Legal Terms (Arbitration + General)

These Terms are governed by California law without regard to conflict-of-law principles.

MANDATORY ARBITRATION:

Any dispute relating to these Terms, the Scan Data, or the Works will be resolved exclusively through binding individual arbitration administered by JAMS in Los Angeles County, California, under the JAMS Streamlined Arbitration Rules.

By accepting these Terms, you agree that:

• Arbitration is the sole and exclusive forum for dispute resolution

• You waive any right to a jury trial or court proceeding

• The arbitrator’s decision is final and binding

• Each party bears its own attorneys’ fees and costs

• NO CLASS ACTIONS: All claims must be brought individually

• The arbitrator may not consolidate claims or preside over any form of representative or class proceeding

If arbitration is deemed unenforceable, you consent to exclusive jurisdiction in Los Angeles County courts.

GENERAL:

These Terms constitute the entire agreement. Any modification requires written agreement. If any provision is unenforceable, the remainder stays in effect. BlueVishnu may assign these Terms; you may not.
